Terms of Service & Commercial Logistics Agreement
1. Entity Identity & Scope of Commercial Services
These Terms of Service constitute a legally binding agreement between Pantheon Moving LLC, a Missouri limited liability company doing business as Pantheon Logistics ("Pantheon", "Company", "Warehouseman", or "Carrier"), operating under Federal Motor Carrier Safety Administration authority USDOT #4086499 and MC #1555799, with its principal commercial logistics terminal located at 1520 NW Vivion Rd C, Kansas City, MO 64118, and the commercial client, shipper, interior design firm, hospitality developer, manufacturer, broker, or consignee ("Client", "Shipper", or "Customer").
Pantheon provides asset-based commercial freight receiving, 68°F climate-controlled warehouse staging, LTL cross-docking, white-glove residential/commercial delivery, uncrating, furniture assembly, and local relocation logistics across the Greater Kansas City metropolitan area and interstate migration corridors.
2. Freight Receiving, BOL Format & 24-Hour OS&D Intake
Pantheon operates receiving bays accommodating dry vans, flatbeds, and 53' tractor-trailers Monday through Sunday from 7:30 AM to 5:30 PM CST. To guarantee chain-of-custody tracking:
- Mandatory Inbound Consignee Format: All inbound Bills of Lading (BOL), purchase orders, and manufacturer packing slips must be addressed exactly as:
[Client Name or Project Reference] c/o Pantheon Logistics, 1520 NW Vivion Rd C, Kansas City, MO 64118. Pantheon reserves the right to refuse or segregate unidentified freight. - 24-Hour Digital OS&D Inspection: Upon carrier drop, Pantheon conducts piece-count verification and exterior visual assessment. If contracted, cartons are opened, uncrated, and inspected under 4K sensor lighting for Over, Short, & Damaged (OS&D) freight. High-resolution photographic reports are issued via email within 24 business hours.
- 5-Day Concealed Damage Reporting Window: Under standard National Motor Freight Classification (NMFC) tariff principles, any concealed damage not documented on the carrier delivery receipt must be reported within five (5) business days of carrier delivery. Pantheon cannot be held liable for originating carrier transit damage that is not reported within this statutory window.
Pantheon acts as the receiving and staging agent. Originating line-haul motor carriers (e.g., Estes, Old Dominion, FedEx Freight, R+L Carriers) remain solely liable for in-transit damages occurring prior to terminal dock signature.
3. Valuation, Cargo Liability & Carmack Amendment Limitations
In accordance with 49 U.S.C. § 14706 (the Carmack Amendment) and Missouri commercial property carrier regulations, Pantheon’s liability for lost, damaged, or destroyed freight during local transit or handling is strictly governed as follows:
- Standard Released Value Rate: Unless the Shipper declares a higher value in writing prior to service dispatch and pays the corresponding valuation surcharge, Pantheon’s maximum liability is strictly limited to sixty cents ($0.60) per pound per article.
- Full Value Protection (FVP): Shippers may elect Full Value Protection by submitting a written declaration of value at least forty-eight (48) hours prior to transit. FVP coverage is subject to agreed deductibles ($250 to $1,000) and premium rate schedules. Under FVP, Pantheon reserves the right to repair the damaged item to its pre-transit condition, replace it with an article of like kind and quality, or pay the repair cost.
- Articles of Extraordinary Value: Items with an intrinsic value exceeding $100 per pound (including museum fine art, one-of-a-kind antiques, rare stone/marble slabs, precious metals, and fine jewelry) must be explicitly listed on a High-Value Inventory Declaration at least seventy-two (72) hours prior to arrival. Failure to declare items of extraordinary value relieves Pantheon of liability beyond standard released rates.
4. Warehouse Storage & Warehouseman’s Statutory Lien
All goods deposited at Pantheon’s 1520 NW Vivion Rd facility or SubTropolis underground storage vaults are governed by Article 7 of the Uniform Commercial Code (UCC) and Missouri Revised Statutes § 400.7-209 and § 400.7-210:
- Warehouseman’s Lien: Pantheon holds a valid general warehouseman's lien against all deposited goods, crates, and personal property for all accrued storage charges, dock handling, uncrating, administrative fees, disposal charges, and legal expenses.
- Default & Sale of Delinquent Freight: If storage, receiving, or delivery invoices remain delinquent and unpaid for sixty (60) calendar days after written demand, Pantheon may enforce its lien by public or private sale in full compliance with Mo. Rev. Stat. § 400.7-210. Surplus funds, if any, will be remitted to the Client after deduction of all accrued balances and sale expenses.
- 68°F Climate-Control Warranty: Storage areas designated as climate-controlled maintain an ambient temperature range of 65°F to 72°F and monitored relative humidity. Pantheon is not liable for atmospheric reactions on natural organic materials (wood expansion/contraction, leather patination) resulting from natural humidity fluctuations.
5. White-Glove Inside Delivery, Assembly & Property Protection
Pantheon’s white-glove technicians provide inside carry, room-of-choice placement, unpacking, and assembly across luxury residences, medical suites, and commercial facilities:
- Path of Travel & Structural Access: The Client is solely responsible for ensuring that entry doors, hallways, stairwells, and elevator cabs accommodate the dimensions of the freight. If architectural obstructions prevent safe inside transit, delivery will be completed to the nearest accessible covered area (foyer/garage) and considered fully delivered.
- Exclusion of Electrical, Gas & Plumbing Alterations: Pantheon crew members do not hardwire electrical lighting, disconnect/reconnect municipal gas lines, or alter plumbing lines. Third-party licensed master tradesmen must be contracted for hardline connections.
- Property Inspection & Sign-Off Waiver: Before crew departure, an adult representative (18+) must thoroughly inspect all placed items and the surrounding building premises (floors, door jambs, walls). The signed electronic Delivery Receipt constitutes conclusive proof that goods were received intact and that no property damage occurred during delivery.
6. Payment Terms, Net Billing & Late Fees
Unless credit terms have been formally approved through Pantheon’s B2B Credit Application:
- Receiving dock intake fees, monthly storage, and delivery charges are due upon invoice presentation.
- Approved corporate accounts receive Net 15 or Net 30 terms. Unpaid balances past thirty (30) days accrue interest at the statutory rate of 1.5% per month (18% per annum) or the maximum allowed by law, plus all attorney fees and collection costs incurred by Pantheon.
7. Governing Law, Dispute Resolution & Jurisdiction
These Terms of Service and all freight transactions between Pantheon and Client shall be construed, interpreted, and enforced in accordance with the substantive laws of the State of Missouri without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these terms shall be instituted exclusively in the Circuit Court of Clay County, Missouri, or the United States District Court for the Western District of Missouri.
